About the Role

Allogene is seeking an experienced, highly organized, and detail-oriented Senior Corporate Paralegal to provide comprehensive legal support to the Legal Department, with a focus on contracting and corporate governance. The individual will have primary responsibility for supporting the Company’s contracting processes and contract management systems, while also playing an important role in public-company governance and board and committee support.

This position will work closely with in-house counsel, senior executives, and business stakeholders. The successful candidate will be capable of supporting the negotiation, execution, and administration of various agreements; independently managing recurring processes; identifying opportunities for improvement; and helping develop scalable legal and governance practices appropriate for a publicly traded biotechnology company. This position will report directly to the Senior Director, Corporate Counsel.

Responsibilities include, but are not limited to:

Contract Management

  • Prepare, review, and edit routine agreements, including confidentiality agreements, service agreements, consulting agreements, supply and vendor agreements, master service agreements and associated work orders, material transfer agreements, and clinical trial agreements.
  • Manage the contract lifecycle, including intake, assignment, negotiation tracking, approval, execution, renewal, amendment, and archiving, through contract management systems and databases.
  • Support counsel and internal clients with contract redlines, revisions, approvals, and communications with counterparties.
  • Assist with the ongoing development of standard form agreements.

Corporate Governance & Entity Management

  • Maintain corporate records, including minutes, resolutions, bylaws, and organizational documents.
  • Coordinate annual filings, business licenses, and other regulatory filings as required.
  • Assist in preparing board and committee materials and maintaining governance calendars.
  • Support compliance initiatives and corporate policies (e.g., signature authority, document retention).

General Legal Operations Support

  • Assist with due diligence, financings, audits, corporate transactions, and internal or external inquiries.
  • Assist in developing and implementing Legal Department policies, standard operating procedures, training materials, and internal guidance.
  • Manage the Legal Department’s intranet page and employees’ access to Legal Department network files.
  • Assist with other Legal Department matters as needed.

Position Requirements & Experience:

  • Bachelor’s degree required; paralegal certificate from an accredited program preferred.
  • Minimum of 8-10 years of relevant paralegal experience, preferably in the biotechnology or pharmaceutical industry.
  • Demonstrated experience independently managing contract workflows and contract management systems.
  • Experience reviewing confidentiality agreements, service agreements, consulting agreements, supply and vendor agreements, master service agreements and associated work orders, material transfer agreements, and clinical trial agreements.
  • Knowledge and understanding of global regulations and guidelines applicable to life sciences companies, including GxP requirements, is strongly preferred.
  • Meaningful experience supporting boards of directors and board committees, including preparation of agendas, resolutions, consents, minutes, governance calendars, and director questionnaires.
  • Familiarity with public-company governance and securities-law processes, including proxy statements, annual meetings, and Section 16 reporting.
  • Ability to communicate directly and professionally with directors, executives, outside counsel, and cross-functional leaders.
  • High degree of discretion and sound judgment in handling sensitive and highly confidential information.
  • Experience improving processes, developing templates or playbooks, and implementing legal operations tools.
  • Ability to collaborate and work effectively with other departments.
  • Ability to work in a fast-paced, deadline-driven environment.
  • Strong attention to detail, with the ability to multitask and handle multiple projects simultaneously.
  • Excellent organizational skills and an ability to prioritize effectively to deliver results within reasonably established timelines.
  • Proficient in MS Word, Excel, PowerPoint, Outlook, SharePoint, and related software.
  • Ability to work independently and as part of a team.
  • Strong interpersonal, verbal, and written communication skills are essential in this collaborative work environment.
  • Candidates must be authorized to work in the U.S.

We offer a chance to work with talented people in a collaborative environment and provide a top-notch compensation and benefits package, which includes an annual performance bonus, equity, health insurance, generous time off (including 2 annual holiday company-wide shutdowns) and much more. The expected salary range for this role is $110,000 - $140,000. Actual pay will be determined based on experience, qualifications, geographic location, business needs, and other job-related factors permitted by law.

As an equal opportunity employer, Allogene is committed to a diverse workforce. Employment decisions regarding recruitment and selection will be made without discrimination based on race, color, religion, national origin, gender, age, sexual orientation, physical or mental disability, genetic information or characteristic, gender identity and expression, veteran status, or other non-job-related characteristics or other prohibited grounds specified in applicable federal, state and local laws.
